2. Accepting these terms

These terms (the "Terms") govern access to and use of goodsbranding.com (the "Site") and the pre-contractual dealings that follow from it. By using the Site, filling in a form or submitting a request you confirm that you have read and accept the Terms. If you do not accept them, please do not use the Site.

3. The nature of our business

Thermex Heating and Air Conditioning Inc. installs and services residential heating systems and combustion venting. We hold a TSSA Fuels Contractor Authorization (FS-R-50283) for natural gas and propane work. The work covered by an accepted quote is carried out directly by our own staff, or by trades we engage under our own responsibility.

The technical, financial and regulatory content published on the Site is informational and general in nature. It is not design work, not tax advice and not an assessment of any specific property: every project requires a site visit and a case-by-case review.

4. Quotes

The site visit and the quote are free and place the customer under no obligation. A quote is issued in writing, itemizes the work, the materials and the timeline, and is valid for the period stated on the document; where nothing else is stated, it is valid for 30 days from the date of issue.

A contract is formed when the customer accepts the quote in writing. Any variation requested during the work, or any work that becomes necessary because of conditions that could not be seen at the time of the site visit, is communicated and accepted by the customer in advance of being carried out.

5. Prices and payment

Prices in a quote are stated exclusive or inclusive of HST exactly as the document specifies. Payment terms and due dates are those set out in the accepted quote. Deposits, where required, are stated on the quote and never exceed a reasonable proportion of the contract value.

Rebate, grant or incentive amounts are not deducted from the price owed unless the quote expressly says otherwise: where a program pays out through the contractor, the quote states clearly whether the rebate is applied to the invoice or claimed afterwards. Eligibility for any program is determined by its administrator, not by us.

6. Carrying out the work, and the customer's obligations

The customer agrees to:

Completion dates given in a quote are estimated in good faith and may move for reasons outside our control, such as supply delays, weather or delays in the issuing of permits and inspections.

7. Warranty

At the end of the work we provide the ESA inspection certificate for the new electrical circuit, the TSSA notification where gas equipment was touched, the commissioning record and the equipment documentation.

Our workmanship is warranted for two years from completion. Manufacturer warranties on the equipment apply on their own terms and for their own duration, as stated in the documentation for each component — typically 10 years on parts and 5 to 10 years on the compressor where the product is registered on time. The implied conditions and warranties under Ontario's Sale of Goods Act and the Consumer Protection Act, 2002 apply and are not excluded by these Terms.

The warranty does not cover defects arising from improper use, from tampering or work carried out by unauthorized third parties, from failure to perform the periodic maintenance specified by the manufacturer, or from accidental events and force majeure.

8. Cancellation rights

Where an agreement is signed somewhere other than our place of business — at your kitchen table, at a trade show, or at the door — it is a direct agreement under Ontario's Consumer Protection Act, 2002, and you may cancel it for any reason, without giving a reason, within 10 days of receiving your written copy. Cancellation is exercised by giving notice to the contact details in section 1; any clear statement of intent is enough, and we recommend sending it in a way you can prove.

If the written copy you receive is missing required information, the law allows cancellation within one year. Where you expressly ask us to begin work before the cancellation period expires and you then cancel, you may owe a reasonable amount for the work actually performed up to that point. Agreements signed at our office are not direct agreements and do not carry an automatic cooling-off period.

9. Your obligations when using the Site

In using the Site you agree to enter truthful and current information in the forms, to use the Site only for lawful purposes, not to attempt to circumvent its security measures or harvest its data by automated means, not to use it to send unsolicited advertising, and not to submit third-party information without their consent. Abusive use may result in access being blocked and a report to the appropriate authorities.

10. Intellectual property

The text, graphics, logos, images, layout and source code of the Site belong to Thermex Heating and Air Conditioning Inc. or to their respective licensors and are protected by the Copyright Act and by trade-mark law. Any reproduction, adaptation or commercial use, in whole or in part, is prohibited without prior written consent. Fair dealing for the purposes of criticism, review, news reporting or research is unaffected, with the source identified.

11. Limitation of liability regarding the Site

The Site is provided "as is". While we maintain its content, we do not warrant that the informational material is complete, accurate or current against continual regulatory change, nor that the service will be uninterrupted or error-free. To the extent the law permits, we exclude liability for loss arising from reliance on general information published on the Site that has not been verified by a site visit.

Nothing in these Terms limits or excludes liability for gross negligence or wilful misconduct, for personal injury, or any statutory right a consumer has that cannot be waived.

12. Force majeure

We are not liable for failing to perform these Terms where the failure results from circumstances beyond our reasonable control, such as natural disasters, acts of government, labour disputes, prolonged failures of electricity or communications networks, cyber attacks, or serious default by our suppliers.

13. Complaints and dispute resolution

For any complaint, please write to [email protected]: we undertake to respond within thirty days.

If no agreement is reached, a consumer may file a complaint with the Ministry of Public and Business Service Delivery, which administers the Consumer Protection Act, or with the Better Business Bureau, and may use mediation or arbitration if both parties agree. Nothing in these Terms prevents either party from going to court, and a consumer's right to bring a claim in Small Claims Court is unaffected.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable in it. Disputes are subject to the jurisdiction of the courts of Ontario. Where the customer is a consumer, the Consumer Protection Act, 2002 preserves their right to proceed in Ontario regardless of anything in these Terms.

15. Changes

We may change these Terms on reasonable notice. The current version is published on this page with the date it was last updated; requests already submitted remain governed by the version in force at the time they were sent.
